Terms of Service
These Terms of Service ("Terms") govern (a) the services provided by ISAM COMMERCE LLC ("ISAM Commerce", "we", "us") to business clients, (b) use of the website isamcommerce.com, and (c) explain how the company's own online stores relate to this website. By engaging our services or using the website you agree to these Terms.
1. About us

2. Services for business clients
2.1 Scope
Services (store setup and migration, advertising-account management, store audits and related work) are provided only to businesses. Each engagement is described in a written proposal or order confirmation that states the scope, deliverables, timeline and price. The proposal forms part of these Terms. Work begins after written acceptance and receipt of any deposit.
2.2 Fees and payment
Project fees are fixed and payable 50% on acceptance and 50% on delivery unless the proposal states otherwise. Retainers are billed monthly in advance. Invoices are issued in USD (or EUR on request), exclusive of VAT and other taxes where applicable, and payable within 7 days by card or bank transfer. Late payments may suspend work and bear interest of 1% per month or the maximum permitted by law, whichever is lower.
2.3 Advertising budgets
We never receive, hold or spend client advertising budgets. The client funds its own Google, Meta or other advertising accounts and grants us access. Fees charged by advertising platforms are the client's responsibility.
2.4 Client responsibilities
The client provides timely access, content, product data and approvals, and warrants that it has the rights to all materials supplied and that its products and advertising comply with applicable law and platform policies.
2.5 Intellectual property
On full payment the client owns the deliverables created specifically for it (theme customisations, campaign structures, reports). We retain ownership of our pre-existing tools, templates and know-how and may use them for other clients. Third-party platforms and software remain subject to their own licences.
2.6 Term and cancellation
Retainers continue month to month and may be cancelled by either party with 30 days' written notice. Projects may be cancelled by the client in writing; fees for work performed up to cancellation remain payable and deposits are non-refundable once work has started (see our Refund Policy).
2.7 No guarantee of results
We provide services with reasonable skill and care. Advertising performance, sales and search rankings depend on factors outside our control, and we do not guarantee any specific result.
3. Online stores operated by the company
ISAM COMMERCE LLC operates one or more consumer online stores under their own brand names and domains. This website does not sell products and no order can be placed here. Each store publishes its own terms of sale, delivery policy, returns and refund policy and privacy notice, which apply exclusively to purchases made on that store. Where those store policies and these Terms differ, the store policies govern the purchase. Consumer questions about an order should be sent to the store's own customer-service address.
4. Website use
The content of isamcommerce.com is owned by ISAM COMMERCE LLC or its licensors and may not be copied without permission. You must not use the website unlawfully, interfere with its operation or attempt unauthorised access.
5. Liability
To the extent permitted by law, our total liability for any claim relating to services is limited to the fees paid for the engagement concerned in the 6 months before the claim. Liability for purchases made on one of our online stores is governed by that store's own terms. We are not liable for indirect or consequential loss, including loss of profit or data. These limitations do not apply to liability for death, personal injury, fraud, or to consumer rights that cannot be excluded by law.
6. Complaints
Complaints about our services can be sent to [email protected]. We acknowledge complaints within 2 business days and aim to resolve them within 14 days. Complaints about a purchase from one of our online stores follow the complaint procedure published on that store.
7. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, and disputes with business clients are subject to the courts of Wyoming. Nothing in these Terms limits rights that consumers have under the mandatory laws of their country of residence.
8. Changes
We may update these Terms. The version in force at the time of a proposal applies to that engagement.
